Grasp provides an AI-powered platform that manages digital operations for small businesses, including but not limited to website creation and management, customer portals, invoicing, customer outreach, feedback collection, Google Business Profile management, and advertising on third-party platforms. Our services may change from time to time at our sole discretion.

3. Account Registration

To use certain features of our services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.

You must be at least 18 years old to create an account and use our services.

4. Use of Services

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable laws or regulations.
• Upload, transmit, or distribute any content that is harmful, offensive, defamatory, or infringes on the rights of others.
• Attempt to gain unauthorized access to our systems, infrastructure, or other users' accounts.
• Interfere with or disrupt the integrity or performance of our services.
• Reverse engineer, decompile, or disassemble any aspect of our platform.
• Use our services to send unsolicited communications (spam) or violate any anti-spam laws.

5. Your Content

You retain ownership of all content, data, and materials you provide to Grasp ("Your Content"). By using our services, you grant us a limited, non-exclusive, worldwide license to use, process, and display Your Content solely to provide and improve our services to you. We will not use Your Content for any other purpose without your consent.

You are solely responsible for Your Content and represent that you have all necessary rights to provide it to us.

6. Intellectual Property

All rights, title, and interest in and to the Grasp platform, including all software, designs, text, graphics, logos, and other materials (excluding Your Content), are owned by Grasp Co. or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without our prior written consent.

7. Payment and Billing

If you subscribe to a paid plan, you agree to pay all fees associated with your selected plan. Fees are billed in advance on a recurring basis (monthly or annually, depending on your plan).

• All fees are non-refundable except as expressly stated in these Terms or required by law.
• We reserve the right to change our pricing with 30 days' notice. Continued use of our services after a price change constitutes acceptance of the new pricing.
• If payment fails, we may suspend or terminate your access to paid features after providing reasonable notice.

8. Third-Party Services

Our platform integrates with third-party services such as Google, Meta, payment processors, and others. Your use of these integrations is subject to the respective third party's terms and policies. Grasp is not responsible for the availability, accuracy, or practices of any third-party service.

9. Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted or error-free operation. We may temporarily suspend access for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Grasp and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our services, whether based on warranty, contract, tort, or any other legal theory.

Our total liability for any claim arising from these Terms or your use of our services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will meet your specific requirements or expectations.

12. Indemnification

You agree to indemnify, defend, and hold harmless Grasp and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of our services, Your Content, or your violation of these Terms.

13. Termination

Either party may terminate these Terms at any time. You may cancel your account by contacting us. We may suspend or terminate your access to our services if you violate these Terms or for any other reason with reasonable notice. Upon termination, your right to use our services will immediately cease. We will make your data available for export for a reasonable period following termination.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the revised Terms.
